TERMS & CONDITIONS EMUSIC.TV Unsigned Artist

By uploading Artists tracks and/or video ('Performance'), Artist agrees to the following terms:

1. Artist grants to EMUSIC.TV all present and future rights in all media whether in existence now or created in the future in respect of the Performance in perpetuity to EMUSIC.TV to enable EMUSIC.TV to use the Performance as set out below (and for no other purpose).

2. Internet: EMUSIC.TV shall be entitled to transmit and archive the Performance on all E-Music Television Ltd. websites and to syndicate the Performance to selected third party websites (for the avoidance of doubt nothing shall suggest that Artist endorses any product shown on any such third party websites).

3. Radio and Television: EMUSIC.TV shall be entitled to broadcast the Performance in all radio and/or television formats (including without limitation analogue, digital, cable, satellite or internet) owned or controlled by any company in E-Music Television Ltd. and to authorise other persons to do the same. This shall be deemed to include the right to broadcast some or part of the recording of the Performance (with such amendments to enable broadcast on radio/television or other transmission) and trailers thereof in all sizes or forms, the right to insert advertising in broadcasts of the Performance (provided that nothing shall imply an endorsement by the Artist of any products or services), the right to advertise and publicise the recording of the Performance or any parts and trailers thereof by means of announcements of whatsoever nature or form containing excerpts from the recording of the Performance.

4. Promotion and Publicity: EMUSIC.TV and all members of E-Music Television Ltd. shall be entitled to promote and use Artist's name, voice and biographical information of the Artist in connection with the exercise of its rights hereunder. Photographs uploaded can be used by EMUSIC.TV for promotional and marketing purposes.

5. Accordingly, Artist hereby gives all consents and waives all 'moral' or other rights they may have necessary to enable such use of the Performance.

6. Artist agrees that EMUSIC.TV (and members of E-Music Television Ltd.) will not be liable to any party for any costs, loss or injury or damages to property in respect of such use of the Performance and hereby waive any rights they may have in this respect unless caused by EMUSIC.TV's wilful default.

7. Artist confirms that every element of the Performance is original and that no third party element has been used to create it, they have the full right and authority to grant the above consents and rights to EMUSIC.TV and such use of the Performance hereunder will not infringe the rights of any third party. In the event of any counter-claims on intellectual property regarding music entered, tracks will be removed until resolved.

8. This Release Form is the whole and only agreement between the parties relating to the Performance, (and supersedes all previous agreements between EMUSIC.TV (and members of E-Music Television Ltd.) and any other party in respect of the Performance whether written or oral) and shall be governed by English law.
